Welcome to Copper North! The terms "we", "us" and "our" refer to Copper North. Copper North operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). 

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. 

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. 

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services. 

SECTION 1 - ACCESS AND ACCOUNT 

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage. 

To use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information. 
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.

ACCESSIBILITY. Copper North is committed to making the Services accessible to people with disabilities. We aim to conform to Level AA of the Web Content Accessibility Guidelines (WCAG) 2.1 published by the World Wide Web Consortium (W3C).

SECTION 2 - OUR PRODUCTS 

We have made every effort to provide an accurate representation of our products and services in our online stores. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration. 

We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered in our online stores. 

PRODUCT DISCLAIMER. Our products, including copper-infused silk items, copper-infused cotton items, mineral or acid-infused items, and related goods, are sold as lifestyle and comfort products only. Copper North makes no representation, warranty, or guarantee regarding any health, medical, cosmetic, antimicrobial, or therapeutic benefit associated with any product. No statement made in connection with the sale or marketing of our products has been evaluated by the U.S. Food and Drug Administration or any other regulatory authority. Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. If you have a medical concern, please consult a qualified healthcare professional.

Any product descriptions referencing material properties (e.g., copper content, silk grade) are made for informational purposes only and do not constitute a warranty of fitness for any particular purpose.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis. 

THIRD-PARTY MANUFACTURED PRODUCTS. Certain products available through the Services, including Soak liquid silk detergent, are manufactured by independent third parties ("Third-Party Manufacturers") and resold by Copper North. With respect to such products:

(a) Copper North makes no warranty as to the fitness, safety, quality, or performance of any Third-Party Manufacturer's products beyond any warranty expressly provided by the manufacturer.

(b) All product liability, personal injury, property damage, or other claims arising from the use of third-party manufactured products should be directed in the first instance to the manufacturer. Contact details for the manufacturer will be provided upon request by emailing compass@coppernorth.com.

(c) Copper North's total liability in connection with any Third-Party Manufacturer's product shall not exceed the purchase price paid by you for that product.

You acknowledge that Copper North acts as a reseller only with respect to Third-Party Manufacturer products and that the manufacturer's own terms, warranties, and safety data sheets govern the product's use.

ADDITIONAL PRODUCTS AND PRODUCT-SPECIFIC TERMS. Copper North may, from time to time, add new products and product categories to the Services. These Terms apply to all current and future products sold through the Services.

For certain product categories, additional product-specific terms, safety disclosures, or regulatory notices may supplement these Terms ("Product-Specific Terms"). Where Product-Specific Terms apply, they will be made available on the relevant product page or as an addendum to these Terms. In the event of any conflict between these Terms and applicable Product-Specific Terms, the Product-Specific Terms shall govern with respect to the relevant product.

We reserve the right to discontinue any product at any time without notice, subject to fulfilling any orders accepted prior to discontinuation.

SECTION 3 - ORDERS 

When you place an order, you are making an offer to purchase. Copper North reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Copper North confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as Copper North may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.

Your purchases are subject to return or exchange in accordance with our Refund Policy. 

RETURNS AND REFUNDS. All purchases are subject to our Refund Policy, which is incorporated into these Terms by reference and available here.

The Refund Policy sets out your rights and obligations with respect to returns, exchanges, and refunds, including applicable time limits and conditions. In the event of any conflict between these Terms and the Refund Policy, the Refund Policy shall govern with respect to returns and refunds.

HYGIENE PRODUCTS. For health and hygiene reasons, the following products may not be returned once opened or used, unless defective: sleep and eye masks; pillowcases that have been used or washed. This restriction does not affect your statutory rights where applicable law does not permit such exclusions.

EU / UK CONSUMERS — STATUTORY COOLING-OFF RIGHT. If you are a consumer resident in the European Union or United Kingdom, you have the right to withdraw from your purchase within 14 days of receiving your order without giving any reason ("cooling-off period"), except where a statutory exemption applies (including goods that are sealed for hygiene reasons and have been unsealed after delivery). To exercise this right, you must notify us at compass@coppernorth.com within the 14-day period. We will refund you within 14 days of receiving the returned goods, or evidence that you have returned them.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export, unless permitted by explicit written consent from Copper North. 

SECTION 4 - PRICES AND BILLING 

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.

Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any. 

SECTION 5 - SHIPPING AND DELIVERY 

We will process and ship your order within 3 business days of order confirmation. Estimated delivery times are provided at checkout and are estimates only — actual delivery may vary based on carrier schedules, holidays, and other factors outside our control.

If your order has not arrived within 3 business days of the estimated delivery date, please contact us at compass@coppernorth.com. We will work with the carrier to locate your shipment. If a shipment is confirmed lost by the carrier, we will, at our option, re-ship the order or issue a full refund in accordance with our Refund Policy.

Once your order is transferred to the carrier, title to the products and risk of loss or damage passes to you. However, this transfer of risk does not affect our obligation to deliver within the timeframes stated above or your right to a remedy for non-delivery.

We are not liable for: (a) carrier delays beyond our control; (b) customs processing delays for international orders; or (c) delivery failures resulting from incorrect or incomplete shipping information provided by you.

SECTION 6 - INTELLECTUAL PROPERTY 

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, articles, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Copper North, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws. 
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Copper North, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by Copper North.

Copper North's names, logos, product and service names, designs, and slogans are trademarks of Copper North or its affiliates or licensors. You must not use such trademarks without the prior written permission of Copper North. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners. 

DMCA NOTICE AND TAKEDOWN. Copper North respects the intellectual property rights of others. In accordance with the Digital Millennium right Act (17 U.S.C. § 512), we have designated an agent to receive notifications of claimed copyright infringement:

To submit a valid DMCA takedown notice, provide in writing: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material and its location on the Services; (iii) your contact information (name, address, telephone, email); (iv) a statement of good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (v) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and (vi) your physical or electronic signature.

Counter-notification: If you believe material was removed in error, you may submit a counter-notification to our DMCA Agent containing the information required under 17 U.S.C. § 512(g)(3).

Repeat infringers: Copper North will terminate the accounts of users who are repeat copyright infringers in appropriate circumstances.Copy

SECTION 7 - OPTIONAL TOOLS 

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input. 
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). 
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

SECTION 8 - THIRD-PARTY LINKS 

The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk. 

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party. 

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Copper North is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Copper North. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Copper North, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Copper North. 

SECTION 10 - PRIVACY POLICY 

All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here, and certain personal information may be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies. 

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside, in order to provide services to you. Review our privacy policy for more details on how we, Shopify, and our partners use your personal information. 

SECTION 11 - FEEDBACK

FEEDBACK AND REVIEWS. If you submit any feedback, reviews, suggestions, or other content to us ("Feedback"), you grant Copper North a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and display such Feedback solely for the purposes of: (i) operating, maintaining, and improving the Services; (ii) promoting and marketing Copper North's products and services; and (iii) fulfilling our obligations under these Terms.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service. 

You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third-party. 

This license does not grant Copper North the right to sublicense your Feedback to unaffiliated third parties for their independent commercial use, except to the extent necessary to operate the Services (e.g., sharing with service providers acting on our behalf).

You represent and warrant that: (a) you own or have the necessary rights to the Feedback you submit; and (b) your Feedback is accurate and reflects your genuine experience.

INCENTIVIZED REVIEWS. If you received a product discount, free product, or any other incentive in exchange for submitting a review, you must clearly disclose this in the review in accordance with FTC guidelines. Copper North reserves the right to remove or label any review that does not comply with this requirement.

We are under no obligation to: (a) maintain your Feedback in confidence; (b) pay any compensation for your Feedback; or (c) respond to your Feedback. We are not obligated to publish, retain, or respond to any Feedback. We may remove Feedback that is unlawful, defamatory, false, or otherwise violates these Terms.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS 

Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order). 

SECTION 13 - PROHIBITED USES 

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with the these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Copper North, Shopify or users of the Services, or expose them to liability. 

In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the services; (e) use any robot, spider, scraping, data gathering and extraction tools, automatic devices or processes, AI tools (such as agentic AI) or automated or manual means to access the Services; or (f) interfere with, bypass, or circumvent the security or authorization features, robot exclusion headers, or other measures we employ to restrict access to the Services. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms. 

SECTION 14 - AGENTS 

14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using persons device, without direct supervision. 

14.2 No Agent may access, use, or interact with Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 14.4 below. In addition, no Agent may access, use, or interact with Services if we have requested that the Agent refrain from accessing, using, or interacting with any service.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obfuscate that any access, use, or interactions are from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans, (iii) respond truthfully to any question or prompt seeking to determine if interactions are coming from a human or a computer, (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services. 

14.5 Permitted Automated Access. Notwithstanding Section 14.1–14.4, the following automated access is expressly permitted without prior written consent:

(a) Copper North's own authorized automated systems, including customer service tools, inventory management, marketing automation, fraud detection, and AI-assisted tools operated by or on behalf of Copper North;

(b) Assistive technology used directly by an individual user to facilitate their own personal use of the Services, including screen readers, voice recognition software, and accessibility browser extensions;

(c) Any system for which Copper North has provided express written authorization.

14.6 Copper North's Own Use of AI. These Terms do not restrict Copper North's use of artificial intelligence tools, including large language models, automated content moderation, personalization engines, or agentic AI, in the operation and improvement of the Services. Such use is governed by our Privacy Policy.

SECTION 15 - TERMINATION 

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. 

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination. 

SECTION 16 - DISCLAIMER OF WARRANTIES 

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its contents.

LIMITED WARRANTY. Copper North warrants that all products sold through the Services will be free from material defects in materials and workmanship for a period of sixty (60) days from the date of delivery to you ("Warranty Period"). If a product is found to be materially defective within the Warranty Period, your sole and exclusive remedy is, at Copper North's option, repair, replacement, or refund of the purchase price. This limited warranty does not cover: (a) damage caused by misuse, accident, or failure to follow care instructions; (b) normal wear and tear; or (c) products that have been altered or washed contrary to care label instructions.

STATUTORY WARRANTIES. Nothing in these Terms limits any statutory warranty or guarantee that cannot be excluded under applicable law. In particular:

For California consumers: Copper North does not disclaim the implied warranty of merchantability. The implied warranty of merchantability for consumer goods sold in California lasts for the duration of the express warranty period stated above, unless a longer period is required by law.

For Australian consumers: Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

DISCLAIMER (AS PERMITTED BY LAW). EXCEPT FOR THE LIMITED WARRANTY AND STATUTORY WARRANTIES DESCRIBED ABOVE, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

SECTION 17 - LIMITATION OF LIABILITY 

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL Copper North, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. 

SECTION 18 - INDEMNIFICATION

18.1 By You. You agree to indemnify, defend, and hold harmless Copper North and its affiliates, officers, directors, employees, agents, and licensors from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law or third-party rights; or (c) your willful misconduct or fraud in connection with your use of the Services.

18.2 By Copper North. Copper North agrees to indemnify, defend, and hold harmless you from and against any third-party claims, damages, losses, and expenses arising out of or relating to: (a) Copper North's material breach of these Terms; (b) Copper North's infringement of any third-party intellectual property right in connection with the Services; or (c) Copper North's willful misconduct or gross negligence.

18.3 Process. The party seeking indemnification ("Indemnified Party") shall promptly notify the indemnifying party of any claim and cooperate in its defense. The indemnifying party shall have the right to control the defense and settlement of such claim at its expense, provided it does not settle any claim that imposes obligations on the Indemnified Party without the Indemnified Party's prior written consent.

NOTE FOR EU/UK CONSUMERS: Nothing in this Section 18 affects any statutory rights you may have as a consumer under the laws of your country of residence.

SECTION 19 - SEVERABILITY 

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. 

SECTION 20 - WAIVER; ENTIRE AGREEMENT 

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. 

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party. 

SECTION 21 - ASSIGNMENT 

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without Copper North's prior written consent. Any attempted assignment without consent is void.

Copper North may assign or transfer these Terms, and any of its rights or obligations hereunder, without your consent, including in connection with: (a) a merger, acquisition, or corporate reorganization; (b) a sale of all or substantially all of Copper North's assets; or (c) a transfer to an affiliate.

In the event of any such assignment: (i) the assignee shall assume all of Copper North's obligations under these Terms, including obligations under our Privacy Policy with respect to personal data collected prior to the assignment; and (ii) Copper North will provide notice to registered users within a reasonable period following the effective date of the assignment, except where prohibited by law (such as during a confidential M&A process).

SECTION 22 - GOVERNING LAW

These Terms shall be governed by the laws of the State of Minnesota, USA, without regard to its conflict of law provisions, and you consent to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota, USA.

Notwithstanding the foregoing, if you are a consumer resident in a jurisdiction where mandatory consumer protection laws apply and where the above choice of law would deprive you of protections you would otherwise be entitled to, the mandatory provisions of the laws of your country of residence shall apply to the extent required by applicable law.

INTERNATIONAL USERS — ADDITIONAL TERMS. If you access the Services from outside the United States, you are responsible for compliance with your local laws. The following additional terms apply based on your location:

European Economic Area, United Kingdom, and Switzerland: You may have rights under the General Data Protection Regulation (GDPR) or UK GDPR, including the right to access, correct, delete, or port your personal data, and to object to or restrict certain processing. To exercise these rights, contact us at compass@coppernorth.com.

Our lawful bases for processing your personal data include: performance of a contract with you (for processing orders and managing your account); compliance with a legal obligation (for tax, fraud prevention, and regulatory requirements); legitimate interests (for improving the Services, fraud detection, and direct marketing to existing customers, subject to your right to object); and consent (for marketing communications where required). Our Privacy Policy contains full details of our processing activities and applicable lawful bases.

Data transfers from the EEA to the US are made pursuant to the European Commission's Standard Contractual Clauses. Data transfers from the United Kingdom are made pursuant to the UK International Data Transfer Agreement (IDTA) or an equivalent UK-approved transfer mechanism. 

Canada: We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA). You may withdraw consent to the collection or use of your personal data at any time, subject to legal or contractual restrictions.

Australia: Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms limits any right you may have under the Australian Consumer Law.

INTERNATIONAL SHIPPING. For orders shipped outside the United States, you are the importer of record and are solely responsible for all customs duties, import taxes, VAT, and compliance with all applicable import regulations. Copper North is not responsible for delays caused by customs processing. Delivery estimates for international orders are indicative only.

SECTION 23 - DISPUTE RESOLUTION

Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact Copper North at compass@coppernorth.com and provide a written description of the dispute, the harm suffered, and the relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed to binding arbitration as described below.

Binding Arbitration. Except as provided below, all disputes, claims, or controversies arising out of or relating to these Terms, the Services, or any product purchased through the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Hennepin County, Minnesota, USA (or by videoconference at your election). Consumer filing fees shall not exceed the amount permitted under the AAA Consumer Arbitration Rules at the time of filing. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may bring an individual action in small claims court. Either party may seek emergency injunctive relief from a court to prevent irreparable harm pending arbitration.

Class Action Waiver. YOU AND COPPER NORTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Jury Trial Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND COPPER NORTH EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Opt-Out. You may opt out of the arbitration agreement by sending written notice to compass@coppernorth.com within thirty (30) days of first agreeing to these Terms. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out.

International Consumers. If you are a consumer resident in the EU, UK, or another jurisdiction where mandatory arbitration of consumer disputes is prohibited or unenforceable, the arbitration and class action waiver provisions above shall not apply to you, and disputes shall be resolved in the courts of your country of residence.

SECTION 24 - HEADINGS 

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms. 

SECTION 25 - CHANGES TO TERMS OF SERVICE 

We reserve the right to update or modify these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you at least thirty (30) days before the changes take effect by: (a) sending an email to the address associated with your account; and/or (b) posting a prominent notice on the Services. 

For the purposes of this section, "material changes" include changes to: pricing or billing terms; dispute resolution or arbitration provisions; limitations of liability; data collection or use practices; and any other changes that significantly affect your rights or obligations. 

Non-material changes (such as corrections of typographical errors or reorganization of existing provisions without substantive change) take effect upon posting.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services before the effective date of the changes. The date of the most recent revision will always be noted at the top of this page.
